6.3. Limitation
We will not be liable for any direct, indirect, incidental, punitive, consequential, or other damages that result from the use or performance of, or the inability to use, this Site or products. Our liability is limited to the amount paid by you in the last 12 months or $50, whichever is lower, unless otherwise required by California or U.S. law.
7.1. Governing Law
These Terms are governed by the laws of the United States and the State of California.
7.2. Arbitration Agreement
Any disputes or claims arising out of or relating to these Terms must be resolved by binding arbitration on an individual basis. Arbitration does not involve a judge or jury, and the ability to appeal may be limited.
7.3. Waiver of Court Action
By using this Site, you understand and agree that you are waiving your right to a court action for any disputes or claims.
7.4. Forum and Rules
The arbitration shall take place in Los Angeles County, California, administered by the American Arbitration Association (AAA) under its then-current Commercial Arbitration Rules.
One arbitrator shall be selected by mutual agreement; if the parties cannot agree, the AAA shall designate the arbitrator.
The arbitrator shall be a licensed attorney with at least ten (10) years of experience in business and commercial law.
7.5. Notice and Opportunity to Cure
You agree not to initiate any arbitration unless you have first provided written notice of your claim to AdoreParts and given a reasonable opportunity for a remedy.
7.6. Class Action Waiver
All disputes shall be arbitrated on an individual basis only.
7.7. Compelling Arbitration
If a party files a claim in court that should be arbitrated, and the other party successfully compels arbitration, the party who filed in court shall pay the prevailing party’s costs and attorney fees related to compelling arbitration.
7.8. Finality
The arbitrator’s decision is final and may be entered in any court of competent jurisdiction.
7.9. Costs and Fees
Each party bears its own costs and attorney fees, unless the arbitrator decides otherwise.
Arbitrator fees are shared equally unless otherwise determined by the arbitrator.
7.10. Time Limit
Any cause of action must commence within one (1) year after it accrues, or it is permanently barred.
8.1. Prohibited Actions
You are prohibited from violating or attempting to violate the Site’s security, including unauthorized access, probing networks, interfering with service, transmitting viruses, or forging headers.
8.2. Liability and Cooperation
Violations may lead to denied access and possible civil or criminal liability. We may cooperate with law enforcement to prosecute violators.
8.3. No Interference
You agree not to use any device, software, or routine to interfere with the Site or any transactions.
9.1. Right to Update
We reserve the right to update these Terms at any time. Changes will be posted on the Site with an updated date.
9.2. Acceptance of Changes
